Welcome to VESPER (“App”). These Terms of Service (“ToS”) govern your use of the App, operated by Quantum Tunneling Ltd (QT LTD) (“we,” “us,” or “our”). By accessing or using the App, you agree to be bound by these terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these terms. The App is intended for personal, non-commercial use.

2. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal use, subject to these ToS and our End User License Agreement. You may not modify, reverse-engineer, or distribute the App.

Guests invited to a shared trip are subject to these Terms. Invited guests will be presented with subscription options upon onboarding; however, they may bypass these options to participate solely in the specific trip(s) to which they have been invited. Access for non-subscribed guests is temporary and governed by the duration and access windows defined in our EULA.

3. User Responsibilities

You agree to:
– Provide accurate information when sharing any information with other users or external people or sources
– Use the App lawfully and in accordance with these ToS.
– Not use the App to engage in illegal activities, including unlawful gambling.
– Not share your account credentials or allow unauthorized access.

4. Data Sharing

Your data remains private unless you explicitly choose to share it with other users through the App’s features. By choosing to share, you provide explicit consent for that data to become public domain data, which will no longer be treated as private. You retain ownership of your shared data but grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and use such shared data in connection with the App’s services. For details on how we handle your data, please refer to our Privacy Policy and Community Notes and Data Sharing Consent.

Quantum Tunneling Ltd (QT LTD) will review and moderate shared data and reserves the right to delete or edit any information found to be inaccurate, providing unqualified financial advice, or contradicting any agreed policies and agreements, including our Community Guidelines and Community Notes and Data Sharing Consent, which you have agreed to by registering to use the App.

You agree not to share content that is unlawful, defamatory, obscene, or infringes on third-party rights.

5. AI Data Usage

In current and future releases, we may employ artificial intelligence (“AI”) to analyze your individual data and provide you with personalized recommendations and observations, such as budget optimization suggestions, spending pattern insights, or tailored trip planning advice. This analysis enhances the App’s functionality and your user experience. You provide explicit consent to this analysis during onboarding or feature activation, as detailed in our Privacy Policy.

Additionally, Quantum Tunneling Ltd (QT LTD) may aggregate and analyze anonymized data across all users to identify broader trends and generate general insights. Such anonymized data will be processed in a manner that prevents identification of any individual user through techniques such as data aggregation and removal of personal identifiers, in compliance with applicable privacy laws. No personal or anonymized data will be sold, shared, or disclosed to any third parties outside of Quantum Tunneling Ltd (QT LTD); all processing remains strictly internal for the purpose of improving the App and its services.

By using the App, you consent to this AI data usage. You may withdraw consent or opt out at any time via the App’s settings, which will limit or cease AI-driven analysis of your data. Opting out may reduce the availability of personalized features. We implement technical and organizational measures to ensure data security, minimization, and accuracy in AI processing. 6. Intellectual Property

The App, including its design, code, and content (excluding user-generated content), is owned by Quantum Tunneling Ltd (QT LTD) or our licensors. You may not copy, reproduce, or distribute any part of the App without permission.

7. Termination

We may suspend or terminate your access to the App if you violate these ToS, engage in unlawful activity, or at our discretion. Upon termination, your license to use the App ends, but certain provisions (e.g., intellectual property, liability, AI Data Usage) survive. Upon termination, you may request data deletion as outlined in our Privacy Policy.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the App, including any financial losses related to user-shared data. The App is provided “as is” without warranties of any kind.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the App or violation of these ToS.

10. Governing Law and Dispute Resolution

These ToS are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes will be resolved in the courts of the Province of Alberta. You agree to attempt informal resolution of any dispute by contacting us before pursuing formal action.

11. Changes to These Terms

We may update these ToS to reflect changes in our practices or legal requirements. We will notify you of material changes via the App or email. Your continued use constitutes acceptance of the updated terms.
